Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services offered by Kropee ("we", "us", "our"), that link to these Terms (the "Services"), including AI-assisted captioning and media tools.

By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

You must be old enough to enter a binding contract where you live and have authority to agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or create risk.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal or personal business purposes in accordance with documentation we provide.

You will not, and will not assist others to:

• Violate law or third-party rights.
• Upload or process content you do not have the right to use, or that is illegal, harmful, or infringes intellectual property.
• Attempt to probe, scan, hack, or stress-test our systems without authorization; circumvent security; or reverse engineer the Services except where law permits.
• Resell, sublicense, or commercially exploit the Services without our written consent.
• Use the Services to build a competing product or train generalized ML models on our outputs or our platform in violation of our policies.

If you believe content accessible through the Services infringes your copyright, please contact us via the Contact page with (a) identification of the copyrighted work, (b) identification of the allegedly infringing material and its location, (c) your contact information, and (d) a statement that you have a good-faith belief the use is not authorized. We will investigate and respond in accordance with applicable law.

You retain rights to content you submit. You grant us and our subprocessors a worldwide license to host, process, transmit, and display your content only as needed to operate, secure, and improve the Services for you. You represent you have the rights needed to grant this license.

7.1Purchases

Certain features require the purchase of coins. Fees, applicable taxes, and billing terms are presented at the time of purchase and processed through our payment provider, Polar. Unless stated otherwise or required by applicable law, purchases are non-refundable once coins have been consumed. See our Refund and Billing Policy for details.

7.2Coin validity

Purchased Coins do not currently expire. If we introduce an expiry policy in the future, we will update these Terms and provide reasonable advance notice. Any such expiry would apply only to Coins purchased after the effective date of that change — Coins already credited to your account before then would not be affected. Coins do not reset or expire on a monthly basis.

7.3Pricing changes

We may change coin pricing or plan structure with reasonable advance notice. Changes do not affect coins you have already purchased.

Outputs generated by AI features may be incomplete or inaccurate. You are responsible for reviewing results before relying on them, especially for legal, medical, or safety-critical uses.

The Services, branding, and our materials are owned by us or our licensors. Except for the license above, no rights are granted. Feedback you provide may be used by us without restriction.

The Services integrate third-party providers. Their terms and privacy practices apply to your use of those services.

Payment processing is handled by Polar (Polar Software Inc.). When you complete a purchase, Polar may appear on your credit card or bank statement as the merchant. Polar is responsible for processing the payment transaction; Kropee is responsible for delivering the Services and Coins you purchased. For billing queries, refer to our Refund and Billing Policy.

We provide the Services on a commercially reasonable, best-effort basis. We do not guarantee uninterrupted or error-free availability. We may perform maintenance, apply updates, or experience outages from time to time. We will endeavour to minimize disruption where practicable, but we are not liable for any loss arising from unavailability or degraded performance.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR ONE HUNDRED USD ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MINIMUM ALLOWED.

We are not liable for any delay or failure to perform our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, civil unrest, government action, power or internet outages, cyberattacks, or failure of third-party infrastructure or AI service providers (such as cloud hosting, AI inference providers, or payment processors). We will make reasonable efforts to resume the affected services as soon as practicable.

You will defend and indemnify us against claims arising from your content, your use of the Services, or your violation of these Terms, to the extent permitted by law.

We may suspend or terminate your access for violations, risk, or legal reasons with or without notice. You may stop using the Services and close your account at any time.

Upon termination or account closure:

• Your right to access the Services ceases immediately.
• Any remaining unused Coins in your account will be forfeited. You may request a refund for eligible unused Coins before closure in accordance with our Refund and Billing Policy.
• Your uploaded content and transcripts will be removed within 21 days of account deletion, as described in our Privacy Policy.
• Provisions of these Terms that are intended to survive termination will remain in effect.

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law rules, except where mandatory consumer protection laws in your jurisdiction provide otherwise. The courts of Hong Kong have non-exclusive jurisdiction over any dispute arising from or in connection with these Terms, subject to any mandatory rights you may have under local law.

We may modify the Services or these Terms. We will post updated Terms and update the "Last updated" date. Continued use after changes become effective constitutes acceptance, where law allows.
